Eva Magic Sales Agreement
SALES AGREEMENT
1. Product Description
The Seller agrees to sell, and the Buyer agrees to purchase, the product known as Eva Magic, a proprietary drying aid designed for use in household and commercial dryers.
2. Quantity and Pricing
The purchase price per unit is $35.00 USD, unless otherwise agreed upon in writing. Final unit pricing may be negotiated and confirmed in the applicable invoice or purchase order.
3. Payment Terms (Exclusive for sales to businesses)
Payment shall be made via credit/debit card, ACH transfer, or business check, as agreed between the parties. Full payment is due within 10 calendar days of the invoice date. If payment is not received within 10 days, a 10% late fee will be added to the total invoice amount. This interest will be compounded every 10 days thereafter, based on the total outstanding balance, until full payment is received.
4. Delivery and Shipping
Delivery terms, shipping costs, and timelines shall be governed by Eva Magic's standard delivery policy, provided to the Buyer at the time of order.
5. Disclaimer and Limitation of Liability
The product is sold as-is without any express or implied warranties beyond those expressly stated in writing. While Eva Magic adheres to strict manufacturing standards to minimize risk, certain hazards may arise due to the nature of textile materials.
By purchasing and using this product, the Buyer assumes full responsibility for ensuring proper usage, maintenance of cleanliness, and adherence to fire safety practices related to lint, dust particles, and dryer operation. The Seller shall not be held liable for any damages to, but not limited to, employees or contractors of set business, business equipment, facilities, or operations resulting from improper use, neglect of maintenance, or failure to follow safety recommendations.
6. Returns and Refunds
All returns and refunds are subject to Eva Magic's return policy in effect at the time of purchase.
7. Governing Law
This Agreement shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
8. Entire Agreement
This Agreement, along with any invoice or written purchase agreement, constitutes the entire agreement between the parties and supersedes all prior communications.
